Every user must read these Terms of Use (hereinafter the "Terms"), which set out the rules governing the use of this website.

Simply using this website implies full and unreserved acceptance of these Terms of Use.

Preamble

Throughout the text below, the term "Site" refers both to the www.delacavoverre.com website and to its delacavoverre application.

The www.delacavoverre.com Site is the showcase website of Vinimetrix (a French simplified joint-stock company with a sole shareholder), which offers the User various services depending on their profile, as a wine consumer or a wine producer:

For consumers:

  • Wine cellar management,
  • Access to statistics,
  • Suggested dishes, food and wine pairings, and more.

For producers:

  • Descriptive records for their wines,
  • Introduction to the services of Vinimetrix.

Article 1 – Purpose

The purpose of these Terms is to govern access to and use of the www.delacavoverre.com Site.

Any access to and/or use of the www.delacavoverre.com Site implies unconditional acceptance of, and compliance with, all of the provisions of these Terms.

Vinimetrix reserves the right to amend the Terms at any time by publishing a new version on the Site. Such amendments take effect as soon as they are published on the Site and are therefore enforceable against every User from that moment.

Article 2 – Definitions

In these Terms, words and expressions beginning with a capital letter have the following meanings:

Article 3 – Access to the Site

Access to the Site is restricted to persons of legal age.

The Site is freely accessible to any User of legal age who has an internet connection. All costs relating to that access are borne solely by the User, who alone is responsible for the proper working of the equipment used to connect to the Site.

Certain sections of the Site are reserved for Members, who must identify themselves using their Identifier and Password.

Article 4 – User obligations

The User undertakes not to knowingly submit incorrect data to Vinimetrix.

The User alone is responsible for the content they publish online, including through the Site. Vinimetrix shall under no circumstances be held responsible for content created by the User. The User undertakes to ensure that the data they share does not infringe the rights of third parties.

In particular, content published by the User must not infringe the intellectual or industrial property rights of any natural or legal person.

The User warrants that all information, data and photographs belong to them or are free of rights.

In all other cases, before using, reproducing, displaying or communicating to the public a protected work belonging to a third party, the User undertakes to obtain prior authorisation or a licence from the rights holders, on the terms laid down by law.

The User warrants the confidentiality of the password used to access the service and accepts all liability for acts committed using that password.

In using the services, the User undertakes not to engage in any act whatsoever that would be contrary to French law and, where applicable, to the laws of the country from which they connect, or that would breach French public policy or the rights of a third party.

The User further undertakes not to misuse, or attempt to misuse, the services offered by Vinimetrix.

Vinimetrix reserves the right to include advertising content across all of the services offered. The User hereby agrees to allow Vinimetrix to display advertising on any medium that does not impair the use of the Site.

Article 5 – Intellectual and industrial property

The Site, along with the trade marks, photographs, texts, comments, illustrations, moving and still images, video sequences and sounds, as well as any software used to operate this Site and, more generally, all items reproduced or used on the Site, are protected by the laws in force under the French Intellectual Property Code.

They are the sole and entire property of Vinimetrix, of its partners or of their respective owners. Any reproduction, display, use or adaptation, in any form whatsoever, of all or part of these items, including software, without the prior written consent of Vinimetrix or of their respective owners, is strictly prohibited.

The fact that Vinimetrix does not initiate proceedings as soon as it becomes aware of such unauthorised use does not amount to acceptance of that use or to a waiver of its right to take action.

Article 6 – Site management

For the proper management of the Site, the publisher may at any time, without this giving rise to any obligation or compensation:

Article 7 – Limitations of liability

Vinimetrix uses all means at its disposal to ensure that the advice and services it offers through its Site meet Users' needs.

Vinimetrix provides Users with general information, which may be supplemented by more specialised product information supplied by producers.

Vinimetrix provides its services on the basis of information supplied by the producers themselves or, failing that, on the basis of information regarded as general to all appellations, so that it cannot be held liable where false information has led to unsuitable advice or service.

The publisher cannot be held liable in the event of any failure, breakdown, difficulty or interruption preventing access to the Site or to one of its features.

The equipment used by the User to connect to the Site is entirely their own responsibility.

The User must take all appropriate measures to protect their equipment and their own data, in particular against virus attacks over the internet. They are also solely responsible for the sites and data they consult.

Nor can Vinimetrix be held liable if, despite the steps it may have taken, a link set up to another site were to prove non-compliant.

Vinimetrix cannot be held liable in the event of legal proceedings against the User:

Vinimetrix is not liable for any damage caused to the User themselves, to third parties and/or to their equipment as a result of their connection to or use of the Site, and the User waives any action against Vinimetrix on that basis.

Should Vinimetrix become subject to amicable or legal proceedings as a result of the User's use of the Site, it may seek recourse against the User for compensation of all losses, sums, awards and costs arising from those proceedings.

Article 8 – Product information, photographs and presentation

Information supplied by producers about their products, and the photographs published, remain the property of those producers, who alone are responsible for them.

Even though Vinimetrix has taken every step to ensure the reliability of the information and photographs on the Site, Vinimetrix cannot incur any liability for errors or omissions in that information or those photographs.

Likewise, Vinimetrix cannot be held liable where information or a photograph supplied to it does not reflect reality, it being specified that in such a case Vinimetrix undertakes to withdraw the information or photograph concerned.

Consequently, the information and content available on the Site cannot under any circumstances give rise to liability on the part of Vinimetrix on any basis whatsoever; Vinimetrix is bound only by an obligation of means in respect of the information it makes available to those who access the Site.

Article 9 – Cookies and trackers

The Site uses cookies and trackers in order to operate properly, to measure its audience and, where applicable, to personalise the content and features offered to the User.

In accordance with Directive 2002/58/EC (the "ePrivacy" Directive), the GDPR (EU Regulation 2016/679) and the recommendations of the French data protection authority (CNIL), cookies and trackers fall into several categories:

On their first visit, the User is informed that cookies are being placed by means of a consent banner allowing them to accept, refuse or customise their choices. Consent is valid for a maximum of 6 months and may be withdrawn at any time.

The User may change their preferences at any time using the cookie management link available on the Site, or configure their browser to block or delete cookies. Refusing certain cookies may, however, degrade the user experience.

Cookies are kept for no longer than 13 months. Data collected through audience measurement cookies is kept for a maximum of 25 months.

Article 10 – Hypertext links

The creation by the User of hypertext links to all or part of the Site is strictly prohibited, save with the prior written consent of Vinimetrix, requested by post at the following address: 51 av. Anatole France, 10000 Troyes.

Vinimetrix is free to refuse such consent without having to justify its decision in any way.

Where Vinimetrix grants its consent, that consent is in all cases temporary and may be withdrawn at any time, with no obligation on Vinimetrix to give reasons.

In all cases, any link must be removed at the simple request of Vinimetrix.

Any information accessible through a link to other sites is not under the control of Vinimetrix, which disclaims all liability as to its content.

Article 11 – Protection of personal data

The User is informed that using the services offered on the Site gives rise to the collection and automated processing of personal data concerning them, in compliance with Regulation (EU) 2016/679 of 27 April 2016 (GDPR) and French Act No. 78-17 of 6 January 1978 on data processing and civil liberties, as amended. Vinimetrix acts as data controller.

Under those provisions, the User has the following rights over their personal data: the rights of access, rectification, erasure, portability, restriction of processing and objection, together with the right to give instructions as to what becomes of their data after their death. The User also has the right to withdraw their consent at any time where processing is based on it.

These rights may be exercised at any time with Vinimetrix, either directly on the Site through the "Contact us" section, or by post at the following address: 51 av. Anatole France, 10000 Troyes, or by email at the following address: contact(@)vinimetrix.com.

For security reasons, and in order to prevent fraudulent requests, such a request may need to be accompanied by proof of identity. Once the request has been processed, that proof will be destroyed.

The User also has the right to lodge a complaint with the French data protection authority (CNIL — www.cnil.fr) if they consider that the processing of their personal data does not comply with the applicable rules.

The data collected is kept only for as long as is strictly necessary for the purpose of the processing, in accordance with the retention periods set out in the Site's privacy policy and with the CNIL's recommendations.

The information collected may be used to produce anonymised statistics. Personal data will under no circumstances be sold to third parties. It may, however, be passed on to technical subcontractors acting on behalf of Vinimetrix, strictly for the purposes of providing the services and in compliance with the GDPR.

In the event of a proven breach of legal or regulatory provisions, this information may be disclosed at the express and reasoned request of the judicial authorities.

Where certain information is required in order to access specific features of the Site, Vinimetrix will indicate that it is mandatory at the point where the data is entered.

The User may receive marketing communications from Vinimetrix only after giving their explicit consent (by ticking a dedicated box). They may withdraw that consent at any time using the unsubscribe link included in every communication, or by contacting Vinimetrix.

Article 12 – Term and termination

These Terms are entered into for an indefinite period from the moment the User starts using the Site. The withdrawal period is, however, 14 days from the date of subscription to the Basic or Pro plan.

Vinimetrix reserves the right to terminate this contractual relationship unilaterally where the User commits serious and/or repeated breaches of any of their obligations, in particular those set out herein, one month after a formal notice sent by registered electronic letter has gone unheeded, without prejudice to any damages that may be claimed from the User.

Article 13 – Partial invalidity

Should one or more provisions of these Terms be declared invalid under a legal provision or following a final court decision, they shall be deemed unwritten without affecting the remaining provisions, which shall remain in force.

Article 14 – Governing law, mediation and jurisdiction

THESE TERMS ARE GOVERNED BY FRENCH LAW.

In the event of a dispute, the User is invited to contact Vinimetrix first in order to seek an amicable settlement.

In accordance with Articles L.616-1 and R.616-1 of the French Consumer Code, a consumer User may, failing an amicable settlement, refer the matter free of charge to a consumer ombudsman. A European Online Dispute Resolution platform is also available at https://ec.europa.eu/consumers/odr/.

A consumer User remains free to bring proceedings, at their choice, either before one of the courts having territorial jurisdiction under the French Code of Civil Procedure, or before the court of the place where they were living when the contract was entered into or when the harmful event occurred, in accordance with Article R.631-3 of the French Consumer Code.

IN THE EVENT OF A DISPUTE BETWEEN Vinimetrix AND A PROFESSIONAL USER, AND FAILING AN AMICABLE SETTLEMENT, EXPRESS JURISDICTION IS GRANTED TO THE COMMERCIAL COURT OF TROYES, NOTWITHSTANDING MULTIPLE DEFENDANTS OR THIRD-PARTY PROCEEDINGS, INCLUDING FOR URGENT OR PROTECTIVE PROCEEDINGS, WHETHER BY SUMMARY APPLICATION OR BY PETITION.

Should these Terms be translated into another language, only the French version shall prevail.
